AGENDA ITEM:  A Resolution Appointing Jose Antonio Ramirez as City Manager, Approving a City Manager Employment Agreement between the City of Livingston and Jose Antonio Ramirez for Service as City Manager and Setting Terms of Employment, Salary and Benefits

RECOMMENDATION:

It is recommended that the City Council consider:

Adopting Resolution 2017 – , Appointing Jose Antonio Ramirez as City Manager, Approving a City Manager Employment Agreement between the City of Livingston and Jose Antonio Ramirez for Service as City Manager, and Setting Terms of Employment, Salary and Benefits.

BACKGROUND:

Over the past year, the City has engaged in an open and competitive City Manager recruitment. The City used Avery & Associates to conduct the executive search. The City also reached out to potential candidates. The City received many applications for the position and interviewed many potential candidates. After many interviews and much deliberation, the City Council authorized the City Attorney to proceed in the negotiations with the City Council’s top candidate, Jose Antonio Ramirez.

Mr. Ramirez served as City Manager for the City of Livingston from June 2011 to January 2015. Mr. Ramirez left the City to pursue personal and professional opportunities outside of the region, however, he has remained connected with many members of the community and staff. He has also remained in communication with many Livingston businesses and employers.

Mr. Ramirez’ knowledge of the City’s resources and challenges will help in moving many projects forward and attracting more businesses and opportunities for the City.

DISCUSSION:

The Agreement attached to the Resolution contains the proposed terms of employment between the City and Mr. Ramirez. The draft agreement reflects the direction that the City Council provided to the City Attorney.

The attached Agreement for Employment of the City Manager includes the following terms:

• Term of Agreement will be for four (4) years;

• City Manager will be an at-will employee;

• City Manager will be paid an annual base salary of $165,000;

• Severance in the amount of six (6) months base salary if the City terminates Mr. Ramirez without cause;

• Life Insurance in the amount of $500,000;

• $400 monthly automobile allowance;

• CalPERS retirement benefits in compliance with the California Public Employees’ Pension Reform Act ("PEPRA"). Mr. Ramirez will be required to contribute the employee share;

• Additional retirement benefit of $5,000 in deferred compensation;

• Most of the other benefits will be the same as other non-safety department heads.

CONCLUSION:

The attached Resolution will appoint Jose Antonio Ramirez as City Manager, approve a City Manager Employment Agreement between the City of Livingston and Jose Antonio Ramirez for service as City Manager, and set terms of employment, salary and benefits.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LIVINGSTON APPOINTING JOSE ANTONIO RAMIREZ AS CITY MANAGER, APPROVING A CITY MANAGER EMPLOYMENT AGREEMENT

BETWEEN THE CITY OF LIVINGSTON AND JOSE ANTONIO RAMIREZ FOR SERVICE AS CITY MANAGER, AND SETTING TERMS OF EMPLOYMENT, SALARY AND BENEFITS

WHEREAS, over the past year, the City has engaged in an open and competitive City Manager recruitment. The City used Avery & Associates to conduct the executive search. The City also reached out to potential candidates; and

WHEREAS, the City received many applications for the position and interviewed many potential candidates; and

WHEREAS, after many interviews and much deliberation, the City Council authorized the City Attorney to proceed in the negotiations with the City Council’s top candidate, Jose Antonio Ramirez; and

WHEREAS, the City Council now desires to appoint Mr. Ramirez to serve as City Manager, pursuant to the terms of the Agreement attached hereto.

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Livingston, State of California as follows:

1. Jose Antonio Ramirez is hereby appointed as City Manager of the City of Livingston pursuant to the terms of the attached Agreement.

2. The City Council hereby approves the Agreement for Employment of City Manager between the City of Livingston and Jose Antonio Ramirez, substantially in the form attached hereto as Exhibit "A" and as approved by the City Attorney, and authorizes the Mayor to execute the same.
